The following resolution for payment of dividend to the shareholders was taken at the General Meeting of shareholders of Aktiv Properties REIT, held on May 10, 2011.
"The General Meeting of Aktiv Properties REIT resolved to distribute dividends to the following amount:
In accordance with Art.10, para.1 of the Special Purpose Vehicle Act / SPVA / dividend of BGN 98640.50 shall be distributed, representing 98.34% of the Company's profit for 2011, determined under Art. 10, para. 3 SPVA, i.e. a total of BGN 100 303.47.
The gross dividend shall be BGN 0.005 per share for 19,728,099 shares issued.
Entitled to receive dividends shall be those registered as shareholders with the registers of Central Depository AD 14 days after the date of this General Meeting - on 18.05.2012
According to Art.10, para.2 SPVA and Art.64, para.5 of the Articles, Aktiv Properties REIT shall pay dividends to shareholders within 12 months from the closing of financial year 2011.
According to Art.115v, para.6 of POSA payment of dividend shall be assisted by Central Depository AD, under the terms and conditions set out in Regulation № 8 / 2003 of the Financial Supervision Commission and in Note 27 to the Rules of the Central Depository, and the start date of payment of dividend shall be 01.08.2012.
Shareholders who have subaccounts with the investment intermediaries will receive their dividend through their respective investment intermediaries under the terms and conditions of Regulation № 8 / 2003 of the Financial Supervision Commission and in Note 27 to the Rules of the Central Depository.
Shareholders whose shares are held in personal securities accounts at the Central Depository (who do not have subaccounts with investment intermediaries) will receive their dividend through MKB Unionbank AD, a financial institution selected by Aktiv Properties REIT, with the following addresses: FC Pliska Address:
